These Terms of Service ("Terms") govern your purchase and use of structural insulated panels and related products from UltraSIPs. By placing an order with us, you agree to be bound by these Terms. Please read them carefully before ordering.

When we use "we", "us", "our", or "UltraSIPs" in these Terms, we mean the company identified above. When we use "you" or "your", we mean the customer placing an order.

2. Definitions

In these Terms, the following words have the following meanings:

  • "Products" means structural insulated panels (SIPs), PIR splines, timber, fixings, and any other goods sold by UltraSIPs.
  • "Made-to-Measure Products" means Products manufactured to your specific dimensions and requirements, including but not limited to SIP panels cut to size with custom window/door openings.
  • "Order" means your purchase request for Products, whether placed via our website, email, or phone.
  • "Order Confirmation" means our written acceptance of your Order, typically sent via email.
  • "Delivery Date" means the estimated date for delivery as stated in the Order Confirmation.
  • "Contract" means the legally binding agreement between you and UltraSIPs formed when we send an Order Confirmation.
  • "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession.
  • "Business Customer" means a customer purchasing Products for trade, business, craft, or professional purposes.

3. Placing an Order

3.1 How to Order

You may place an Order by:

  • Adding Products to your cart on ultrasips.com and completing checkout
  • Emailing us at enquiries (at) ultrasips.com with your requirements
  • Calling us on 0800 033 7330
  • Requesting a custom quote for Made-to-Measure Products

3.2 Order Process

Step 1: You Submit Order

When you place an Order, you are making an offer to purchase Products subject to these Terms.

Step 2: We Review Your Order

For Made-to-Measure Products, we will review your specifications and may contact you to clarify dimensions or requirements.

Step 3: Order Confirmation

We will send you an Order Confirmation via email showing:

  • Product specifications (dimensions, thicknesses, quantities)
  • Total price including VAT and delivery
  • Estimated Delivery Date
  • Payment terms

Step 4: Contract Formation

The Contract is formed when we send the Order Confirmation. Until that point, we may decline your Order without giving a reason.

3.3 Accuracy of Order

CRITICAL: Check Your Order Confirmation Carefully

You are responsible for ensuring all specifications in the Order Confirmation are correct. We manufacture Made-to-Measure Products exactly as specified. Errors in your specification are not grounds for returns or refunds.

If you spot any errors, contact us immediately before we begin manufacturing (typically within 24 hours of Order Confirmation).

3.4 Minimum Age

You must be at least 18 years old to place an Order. By ordering, you confirm you are 18 or over.

4. Pricing and Payment

4.1 Prices

  • All prices on our website are in British Pounds (GBP)
  • Prices are subject to VAT at the prevailing rate (currently 20%)
  • Prices exclude delivery unless stated otherwise
  • We reserve the right to change prices at any time, but changes do not affect Orders already confirmed
  • The price you pay is the price stated in your Order Confirmation

4.2 Delivery Charges

Delivery charges vary based on:

  • Delivery location and distance from our facility
  • Order size and weight
  • Site access requirements (e.g., crane or forklift needed)

Delivery charges will be clearly shown in your Order Confirmation before you commit to purchase.

4.3 Payment Terms

For Consumers (Non-Trade):

  • Full payment required before manufacturing begins
  • We accept the payment methods shown at checkout.
  • Your Order will not enter production until payment is received and cleared

For Business Customers (Trade Accounts):

  • Credit terms may be available subject to credit approval
  • Typical terms: 50% deposit, balance on delivery or within 30 days
  • Contact us to apply for a trade account
  • Late payment may incur interest at 8% above Bank of England base rate

4.4 Payment Security

All online payments are processed securely through our payment provider. We do not store your full credit/debit card details. Your payment information is encrypted and handled according to PCI-DSS standards.

4.5 Pricing Errors

While we take care to ensure pricing accuracy, errors can occur. If we discover a pricing error in your Order (whether before or after sending Order Confirmation), we will notify you immediately. You may then:

  • Accept the correct price and proceed with the Order
  • Cancel the Order with no obligation

5. Made-to-Measure Products

Important: Custom Manufacturing

All SIP panels are Made-to-Measure Products manufactured specifically for your project. They are custom built and custom manufactured to order. Once production begins, these Products cannot be returned, exchanged, or refunded except for manufacturing defects (see Section 9).

5.1 What This Means

  • Panels are cut to your exact dimensions
  • Window and door openings are positioned as you specify
  • Panel quantities are calculated for your specific project
  • These panels cannot be used for other customers' projects
  • You have no right to cancel after manufacturing begins under UK Consumer Contracts Regulations 2013 (custom goods exemption)

5.2 Your Responsibilities

When ordering Made-to-Measure Products, you are responsible for:

  • Accurate measurements: All dimensions you provide must be correct
  • Suitable specifications: Panel thicknesses and types appropriate for your application
  • Building Regulations compliance: Ensuring Products meet relevant standards for your project
  • Professional advice: Consulting structural engineers, architects, or building control as needed
  • Checking Order Confirmation: Verifying all specifications before we manufacture

5.3 Our Assistance

We provide technical guidance and recommendations, but final responsibility for specification accuracy rests with you. We are not liable for incorrect specifications you provide, even if we reviewed them.

6. Product Specifications

6.1 Product Information

We make every effort to ensure product descriptions, images, and technical specifications on our website are accurate. However:

  • Images are for illustration purposes and may not show exact appearance
  • OSB is a natural wood product - appearance varies (grain, color, knots)
  • Technical data (U-values, thermal conductivity) are calculated per industry standards but actual performance may vary based on installation quality
  • We reserve the right to make minor specification changes without notice if they don't affect performance

6.2 Product Standards

Our Products meet or exceed:

  • BS EN 13165 (Thermal insulation products for buildings)
  • BS EN 300 (Oriented Strand Boards - Definitions, classification and specifications)
  • BS EN ISO 6946 (Building components and building elements - Thermal resistance and thermal transmittance)
  • UK Building Regulations where applicable

6.3 Manufacturing Tolerances

Made-to-Measure Products are manufactured to industry-standard tolerances:

  • Dimensional accuracy: +/-5mm on panel dimensions
  • Thickness: +/-2mm on total panel thickness
  • Opening positions: +/-5mm on window/door openings

Variations within these tolerances are not defects.

7. Delivery

7.1 Delivery Dates

Delivery Dates stated in Order Confirmations are estimates only and are not guaranteed. We aim to deliver within:

  • Standard products: 5-10 working days from Order Confirmation
  • Made-to-Measure products: 10-15 working days from Order Confirmation
  • Large orders: 15-20 working days from Order Confirmation

We will notify you if we anticipate delays beyond the estimated Delivery Date.

7.2 Delivery Locations

We deliver throughout mainland UK. We may charge additional fees or be unable to deliver to:

  • Scottish Highlands and Islands
  • Northern Ireland
  • Offshore islands
  • Remote locations (defined as >100 miles from our facility)

7.3 Delivery Requirements

Your Responsibilities:

  • Access: Ensure delivery vehicle can access your site (our vehicles are typically 7.5-18 tonne trucks)
  • Unloading: Arrange suitable equipment (forklift, telehandler, crane) or sufficient labour to unload panels
  • Storage: Have suitable dry, level storage area ready
  • Presence: You or your representative must be present to accept delivery
  • Contact: Provide accurate delivery address and phone number

Failed Deliveries

If delivery cannot be completed due to:

  • Inadequate site access
  • No one present to accept delivery
  • Unsafe unloading conditions
  • Incorrect delivery address provided

We will charge you for re-delivery (typically GBP 150-400). Products will be stored at your risk and cost until re-delivery can be arranged.

7.4 Delivery Method

Standard delivery is kerbside/roadside delivery. The driver will:

  • Offload panels to accessible ground level location
  • Not carry panels to rear gardens, upper floors, or difficult locations
  • Not operate your lifting equipment
  • Spend maximum 30 minutes on site

If you require specialist delivery (crane offload, specific placement, etc.), please arrange this separately. We can recommend contractors.

7.5 Risk and Title

  • Risk passes to you: When Products are delivered and you (or your agent) signs for them
  • Title (ownership) passes to you: When we receive full payment
  • Products remain our property until paid in full

8. Inspection and Acceptance

8.1 Inspection on Delivery

CRITICAL: Inspect Before Signing

You MUST inspect Products upon delivery while the courier is present. Check for:

  • Damaged packaging or panels
  • Correct quantity (count all panels)
  • Correct specifications (check labels)
  • Visible defects or damage

Do NOT sign "Received in good condition" if there are visible problems.

8.2 Reporting Damage or Defects

Visible damage/defects:

  • Note damage on delivery paperwork: "Panels damaged - claim to follow"
  • Take photographs immediately (damaged items + packaging)
  • Contact us within 24 hours with photos and delivery note
  • Do not install damaged panels

Hidden defects: (not visible on delivery)

  • Report within 7 days of delivery
  • Provide photographs showing the defect
  • Do not install defective panels

Claims reported after these time limits may not be accepted, as we cannot determine whether damage occurred during delivery/storage or after acceptance.

8.3 Acceptance

You are deemed to have accepted Products if:

  • You sign delivery paperwork without noting damage/issues, AND
  • You do not report defects within 7 days

Once accepted, you cannot reject Products except for latent defects (defects not reasonably discoverable on inspection).

9. Returns and Refunds

This section summarises our returns and refunds policy.

9.1 Summary of Returns Policy

No General Right to Return

Made-to-Measure Products cannot be returned, exchanged, or refunded unless defective. This exemption is permitted under UK Consumer Contracts Regulations 2013 for custom-made goods. We do not accept returns or refunds for custom manufactured items except where there is a manufacturing defect.

Manufacturing Defects Covered

If Products have genuine manufacturing defects (delamination, incorrect dimensions, damaged cores, etc.), we will provide full refund or free replacement. You are responsible for return shipping costs.

9.2 Cancellation Before Manufacturing

You may cancel your Order before manufacturing begins:

  • Full refund: If cancelled before we start cutting panels
  • No cancellation fee: For standard cancellations
  • Custom design fees non-refundable: If we created bespoke technical drawings
  • Contact us immediately: Once manufacturing starts, no cancellations accepted

9.3 Your Statutory Rights

Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. Products must be as described, of satisfactory quality, and fit for purpose. If they are not, you have the right to a refund, repair, or replacement.

10. Warranties and Guarantees

10.1 Product Quality Warranty

We warrant that Products will:

  • Be manufactured to the specifications in your Order Confirmation
  • Be free from manufacturing defects
  • Comply with stated technical standards (BS EN 13165, BS EN 300, etc.)
  • Be of satisfactory quality

10.2 Manufacturer Warranties

Component materials (Celotex insulation, OSB boards) carry manufacturer warranties:

  • Celotex PIR: Thermal performance guaranteed by Celotex (subject to correct installation)
  • Sterling OSB: Complies with EN300 OSB/3 standards

These warranties pass to you. Claim procedures are detailed in manufacturer documentation supplied with Products.

10.3 Warranty Limitations

Our warranty does NOT cover:

  • Incorrect installation: Panels must be installed per industry best practices
  • Improper storage: Panels must be stored dry and protected from moisture
  • Modification: Cutting, altering, or modifying panels after delivery
  • Normal wear: Cosmetic changes over time (OSB color changes, etc.)
  • Acts of God: Fire, flood, storm damage, etc.
  • Incorrect specification: Panels not suitable for your chosen application
  • Building Regulations: We do not warrant compliance with Building Regulations for your specific project (this depends on whole-building design, not just panels)

10.4 Design Life

When correctly installed and maintained, SIP panels have a design life of 60+ years. This is not a warranty but a reasonable expectation based on material properties.

11. Limitation of Liability

Important Legal Information

This section sets out our maximum liability to you. Please read carefully.

11.1 What We Don't Limit

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by UK law

11.2 Consumer Customers

If you are a Consumer, we are liable for foreseeable loss or damage caused by our breach of these Terms or negligence. Loss is foreseeable if it was an obvious consequence of our breach or was contemplated by both parties when the Contract was formed.

11.3 Business Customers

If you are a Business Customer, our liability is limited as follows:

We are NOT liable for:

  • Loss of profits, revenue, or business
  • Loss of contracts or opportunities
  • Loss of or damage to goodwill or reputation
  • Loss of anticipated savings
  • Loss of data
  • Indirect or consequential losses
  • Any losses arising from delays in delivery (unless caused by our gross negligence)

Our maximum total liability is limited to:

The greater of: (a) the price paid for the Products, or (b) GBP 10,000

This limit applies to the aggregate of all claims arising from or in connection with the Contract.

11.4 Your Responsibility

You are responsible for:

  • Ensuring Products are suitable for your intended use
  • Correct installation per industry standards
  • Compliance with Building Regulations for your project
  • Obtaining necessary professional advice (structural engineers, architects, etc.)
  • Safe storage and handling of Products

Important: We supply building materials. We do not design buildings, provide structural calculations, or guarantee Building Regulations compliance for your specific project. Always consult qualified professionals.

12. Intellectual Property

12.1 Our Content

All content on ultrasips.com is owned by or licensed to UltraSIPs, including:

  • Text, images, graphics, logos
  • Product descriptions and technical data
  • U-Value calculator tool and algorithms
  • Blog posts and articles
  • Website design and layout

You may not reproduce, distribute, modify, or commercially exploit any content without our written permission.

12.2 Permitted Use

You may:

  • View and download content for personal, non-commercial use
  • Print product specifications for your project
  • Share links to our website on social media

12.3 Trademarks

"UltraSIPs" and our logo are trademarks. You may not use our trademarks without permission.

13. Privacy and Data Protection

We process your personal data in accordance with UK GDPR and Data Protection Act 2018.

13.1 What Data We Collect

When you place an Order, we collect:

  • Name, email, phone number
  • Delivery address
  • Payment information (processed securely by our payment provider)
  • Order details and specifications

13.2 How We Use Your Data

  • Process and fulfill your Order
  • Communicate about your Order (confirmations, delivery updates)
  • Provide customer support
  • Send occasional marketing emails (you can opt out anytime)
  • Comply with legal obligations
  • Detect and prevent fraud or misuse of the website, including using IP address and device data for security checks

We only use your email to communicate about your account and orders, and for UltraSIPs marketing if you opt in. We do not sell your email address to third parties.

13.3 Your Rights

You have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request deletion (subject to legal requirements)
  • Object to marketing communications
  • Withdraw consent

14. Website Use

14.1 Acceptable Use

We aim for 99%+ website uptime but cannot guarantee uninterrupted access. We may suspend access for maintenance, updates, or security reasons without notice.

15. Force Majeure

We are not liable for failure to perform our obligations if caused by events beyond our reasonable control, including:

  • Acts of God (floods, earthquakes, severe weather)
  • War, terrorism, civil unrest
  • Government actions or restrictions
  • Strikes or labor disputes (ours or our suppliers')
  • Material shortages or supplier failures
  • Transport disruptions
  • Pandemic or epidemic
  • Fire, explosion, or utility failures

If a force majeure event delays delivery for more than 30 days, either party may cancel the Order with no liability. We will refund any payments received.

16. Dispute Resolution

16.1 Informal Resolution

If you have a complaint or dispute, please contact us first. We will attempt to resolve issues informally and quickly.

16.2 Alternative Dispute Resolution (Consumers)

If you are a Consumer and we cannot resolve your complaint, you may refer it to:

16.3 Governing Law and Jurisdiction

  • These Terms are governed by English law
  • Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales
  • If you are a Consumer in Scotland or Northern Ireland, you may bring proceedings in your local courts

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UltraSIPs. They supersede any prior discussions, correspondence, or agreements.

17.2 Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with a new "Last Updated" date. The version in force when you place your Order applies to that Order.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

17.4 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision. We retain all rights.

17.5 Assignment

We may assign or transfer our rights and obligations under these Terms. You may not assign your rights or obligations without our written consent.

17.6 Third-Party Rights

These Terms are between you and UltraSIPs. No third party has any right to enforce any provision.
